Board Member Responsiblities

As a practitioner of Rootlight Collective, I recognize that I am both a representative of my own practice and a member of a wider community dedicated to cultural healing, wellness, and collective resilience. 

By participating, I agree to honor the following commitments in spirit and in action:

1. Uphold the Mission & Purpose

  • Ensure all programs, decisions, and partnerships align with the Collective’s charitable purpose and community wellness mission.
  • Protect the integrity of the organization and its founding values.

2. Strategic Direction & Governance

  • Set yearly priorities and overall organizational direction.
  • Approve major initiatives, partnerships, and long-term plans.
  • Review and amend bylaws and policies when needed.

     

3. Financial Oversight

  • Approve the annual budget and significant expenditures.
  • Ensure transparent, ethical, and responsible use of funds.
  • Review financial reports prepared by the Treasurer.

     

4. Compliance & Accountability

  • Make sure Rootlight complies with relevant laws, nonprofit requirements, and reporting standards.
  • Ensure policies are followed (membership, conduct, committees, finances).

     

5. Oversight of Membership & Programs

  • Approve membership categories, dues, and in-kind contribution structures.
  • Review and approve new Practitioner Members as needed.
  • Ensure programs serve the public and practitioners meaningfully.

     

6. Leadership of Meetings & Collective Spaces

  • Facilitate annual meetings and board-led community meetings.
  • Plan agendas, receive proposals, and maintain transparency.

     

7. Appointment, Support & Removal of Directors

  • Nominate and vote on new directors.
  • Address underperformance, misconduct, or inactivity when needed.

     

8. Committee Oversight

  • Create committees or working groups as needed.
  • Assign board liaisons and review committee updates and recommendations.

     

9. Stewardship of Organizational Assets

  • Oversee the use of shared resources, directory listings, and community spaces.
  • Approve any significant commitments or agreements.

     

10. Representation of Rootlight Collective

  • Serve as a public representative of the organization.
  • Model the Collective’s values of community wellness, inclusion, and collaboration.

Board Member Agreements

As a Director of Rootlight Collective, I agree to uphold the mission, values, and purpose of the organization, and to carry out my role with integrity, respect, and collaboration.

This agreement outlines the expectations, responsibilities, and commitments of service.

1. Alignment with Mission & Values

I agree to:

  • Support the Collective’s commitment to accessible holistic wellness, community education, and practitioner support.
  • Model community care, respect, and collaborative leadership.

     

  • Make decisions in service of the community, not personal interest.

     

2. Active Participation

I commit to:

  • Attend regular board meetings and annual meetings.

     

  • Communicate proactively if I am unable to attend.

     

  • Review all materials in advance of meetings and contribute thoughtfully.

     

  • Participate in discussions, planning, and decision-making.

     

3. Responsibilities of Governance

I will:

  • Help set organizational priorities, policies, and strategic direction.

     

  • Support the administration of membership structures and collective programs.

     

  • Ensure the organization remains compliant with relevant laws and bylaws.

     

4. Ethical & Financial Stewardship

I agree to:

  • Make decisions that reflect the responsible use of Rootlight’s resources.

     

  • Maintain confidentiality around sensitive financial or legal matters.

     

  • Disclose any potential conflict of interest.

     

5. Communication & Collaboration

I will:

  • Communicate respectfully and directly with other board members.

     

  • Hold space for differing perspectives while maintaining mission alignment.

     

  • Keep the Board informed of concerns, challenges, or community feedback.

     

6. Community Representation

I agree to:

  • Represent the Collective in alignment with its mission, values, and tone.

     

  • Support public events, programs, and community-facing initiatives whenever possible.

     

  • Maintain professionalism when interacting with practitioners, members, and partners.

     

7. Boundaries & Conduct

I commit to:

  • Uphold community agreements and anti-harm practices.

     

  • Maintain appropriate boundaries with members, practitioners, and community participants.

     

  • Conduct myself in a way that builds trust and cohesion within the Collective.

     

8. Conflict of Interest

I will:

  • Disclose any personal, financial, or professional interest related to decisions before the Board.

     

  • Recuse myself from voting when appropriate.

     

9. Confidentiality

I agree to:

  • Keep internal discussions, sensitive information, and member details confidential.

     

  • Use discretion when communicating on behalf of the Collective.

     

10. Term, Resignation & Accountability

I understand that:

  • I serve until I resign or am removed in accordance with the bylaws.

     

  • If I am unable to fulfill my responsibilities, I will communicate with the Board.

     

  • The Board may remove a director for cause, including persistent inactivity or misconduct.
